Terms of Service

1. Acceptance of Terms

By accessing or using Levely ("the Service"), operated by Levely Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Levely is a SaaS platform that enables users to build sales funnels, manage contacts, send email and SMS communications, process payments via Stripe, and create automated marketing workflows. The Service includes AI-powered content generation, analytics, and integration features.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use the Service to:

• Send unsolicited emails or SMS messages (spam)
• Upload or distribute malicious code, phishing content, or deceptive material
• Violate any applicable laws, including CAN-SPAM, GDPR, TCPA, or other anti-spam and privacy regulations
• Send communications to purchased, rented, or scraped email lists
• Impersonate another person or entity
• Interfere with or disrupt the Service or its infrastructure
• Use the Service for any illegal or fraudulent purpose

5. Email & SMS Communications

You are solely responsible for obtaining proper consent from recipients before sending email or SMS communications through the Service. All emails sent through the platform include mandatory unsubscribe mechanisms. We monitor bounce and complaint rates and reserve the right to suspend sending privileges if your rates exceed acceptable thresholds (bounce rate above 5%, complaint rate above 0.1%).

6. Payments & Billing

Paid plans are billed monthly or annually as selected. Payments are processed via Stripe. You authorize us to charge your payment method for recurring fees. You may cancel your subscription at any time; access continues through the end of the billing period. Refunds are not provided for partial billing periods.

7. Stripe Connect & Payment Processing

If you use Levely to accept payments from your customers, payments are processed via Stripe Connect. You agree to Stripe's terms of service. We charge a platform transaction fee as disclosed in our pricing. We are not responsible for disputes between you and your customers.

8. AI-Generated Content

The Service uses AI to generate funnel pages, email sequences, ad copy, and other content. AI-generated content is provided as a starting point and may require review and editing. You are responsible for reviewing all AI-generated content before publishing. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

9. Intellectual Property

You retain ownership of all content you create or upload to the Service. You grant us a limited license to host, display, and process your content as necessary to provide the Service. We retain all rights to the Levely platform, software, and branding.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for complying with applicable data protection laws when collecting and processing your contacts' personal data through the Service.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications to the Service at any time. We are not liable for any downtime or service interruptions.

12. Termination

We may suspend or terminate your account if you violate these Terms, particularly provisions related to acceptable use and email/SMS compliance. You may delete your account at any time. Upon termination, your data will be deleted within 30 days, except as required by law.

13. Limitation of Liability

To the maximum extent permitted by law, Levely Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or an in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
